GridDown License (EULA)

These terms apply to GridDown Maps by BlackAtlas LLC. GridDown Maps is proprietary, paid software licensed per seat — not open source. For other BlackAtlas products, see the site-wide legal pages.

GridDown Maps ("GridDown", "the Software") is proprietary software published by BlackAtlas LLC ("BlackAtlas", "we", "us"). It is provided free of charge to all users. It is not open-source software: the source code is not published, and the rights granted below are limited to using the Software, not to copying, modifying, or redistributing it.

By accessing or using GridDown Maps on the BlackAtlas hardware it was supplied with, you agree to this Agreement. If you do not agree, do not use the Software.

1. License Grant

Subject to your compliance with this Agreement, BlackAtlas grants you a non-exclusive, non-transferable, revocable license to install and use GridDown Maps for any lawful purpose — personal, organizational, commercial, or governmental — on the number of seats you have licensed. A licence is perpetual for the version purchased. The annual renewal covers continued updates, data, and support; allowing it to lapse does not disable or degrade software already installed.

There is no distinction between personal and commercial use: any lawful use is permitted on the hardware the Software was supplied with. The restrictions in Section 2 concern only copying, altering, and redistributing the Software itself.

2. Restrictions

Except as expressly permitted by this Agreement or by applicable law that cannot be contractually waived, you may not:

Redistribute or resell the Software, or make it available for download,

as a standalone product or as part of another offering, without BlackAtlas's prior written permission.

Modify, adapt, translate, or create derivative works of the Software.
Reverse-engineer, decompile, or disassemble the Software, or attempt to

derive its source code, except to the limited extent applicable law expressly permits despite this restriction.

Remove, obscure, or alter any copyright, trademark, attribution, or other

proprietary notice.

Use the "GridDown" or "BlackAtlas" names or logos except as required for

permitted attribution, or in any way that suggests endorsement or that the Software is your own.

Use the Software to build or train a competing product, or represent the

Software or its output as originating from anyone other than BlackAtlas.

Using GridDown Maps on the BlackAtlas hardware it was supplied with, and configuring it for your own operations, are permitted and encouraged.

3. Hardware Bundles

BlackAtlas sells hardware (for example, provisioned tablets, sensor appliances, and integrated sensor or radio packages) on which GridDown Maps is pre-installed. This is the only way the Software is supplied. The Software remains licensed to you free of charge under this Agreement; any charge is for the hardware, its integration, provisioning, and support, which are governed by a separate hardware sales and integration agreement, not by this EULA.

4. Ownership

GridDown is licensed, not sold. BlackAtlas LLC retains all right, title, and interest in and to the Software, including all source code, designs, documentation, and intellectual property rights. No rights are granted except as expressly stated here. BlackAtlas reserves the right to offer the Software, or additional features, components, or services, under separate or commercial terms in the future; nothing in this Agreement obligates BlackAtlas to provide the Software free of charge in perpetuity.

5. Trademarks

"GridDown" and "BlackAtlas" and associated logos are trademarks of BlackAtlas LLC. This Agreement does not grant any right to use them except for attribution as permitted above.

6. Third-Party Components and Data

GridDown incorporates third-party open-source components and draws on public and licensed data sources, each governed by its own license and terms. Those terms are listed in ATTRIBUTIONS.md and continue to apply to those components and data.

7. No Warranty

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. BLACKATLAS DOES NOT WARRANT THAT THE SOFTWARE WILL BE UNINTERRUPTED, ERROR-FREE, OR ACCURATE.

8. Safety Notice

GridDown is a supplementary situational-awareness and planning tool. It is not a substitute for professional emergency services, proper training, certified navigation equipment, or official search-and-rescue systems. Do not rely on it as a sole means of navigation or safety. You are responsible for your own safety and for verifying critical information through authoritative sources.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BLACKATLAS LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SOFTWARE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. BECAUSE THE SOFTWARE IS PROVIDED FREE OF CHARGE, BLACKATLAS'S TOTAL AGGREGATE LIABILITY ARISING FROM THIS AGREEMENT SHALL NOT EXCEED ONE HUNDRED U.S. DOLLARS (USD $100). SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO PARTS OF THIS SECTION MAY NOT APPLY TO YOU.

10. Term and Termination

This Agreement applies for as long as you use the Software. It terminates automatically if you breach any of its terms. On termination you must stop using and delete all copies of the Software. Sections 4, 5, 7, 8, 9, and 11 survive termination.

11. Governing Law

This Agreement is governed by the laws of the Commonwealth of Virginia, without regard to its conflict-of-laws rules. Any dispute arising out of or relating to this Agreement shall be brought exclusively in the state or federal courts located in Stafford County, Virginia, and you consent to the personal jurisdiction of those courts.

12. Entire Agreement

This Agreement, together with the Terms of Service, Privacy Policy, Disclaimer, and Attributions, is the entire agreement between you and BlackAtlas regarding the Software and supersedes all prior agreements, including any previous license.
