GridDown Terms of Service

These terms apply to GridDown Maps by BlackAtlas LLC. GridDown Maps is proprietary, paid software licensed per seat — not open source. For other BlackAtlas products, see the site-wide legal pages.

1. Acceptance of Terms

By accessing, downloading, installing, or using GridDown ("the Software," "the Application," or "the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use GridDown.

These Terms constitute a legally binding agreement between you ("User," "you," or "your") and BlackAtlas LLC ("we," "us," or "our").

2. Description of Service

GridDown is a Progressive Web Application (PWA) providing:

• Offline-capable tactical navigation and mapping
• Route planning and logistics calculation
• Communication planning tools
• Emergency preparedness features
• Integration with external hardware devices
• Environmental data visualization

GridDown is designed as a supplementary planning tool and is not intended to replace professional equipment, training, or emergency services.

3. License Grant

3.1 License Scope

GridDown Maps is proprietary, paid software. A licence is $600 per seat, perpetual for the version purchased, and includes twelve months of updates, data refreshes, and support. Continued updates, data, and support after that are $150 per seat per year. We grant you a non-exclusive, non-transferable, revocable licence to install and use GridDown Maps for any lawful purpose — personal, organizational, commercial, or governmental — on the number of seats you have licensed. Lapsing the annual renewal does not disable software you have already installed; it ends your access to further updates and data. The full terms are in the End-User License Agreement (LICENSE).

3.2 Hardware Bundles

BlackAtlas sells hardware with GridDown Maps pre-installed. The Software is licensed to you as a component of that hardware bundle, under a separate hardware sales agreement covering the hardware, its integration, and support.

3.3 Restrictions

You may NOT:

• Redistribute, resell, or republish the Software itself
• Modify, adapt, or create derivative works of the Software
• Reverse-engineer the Software except as applicable law permits
• Remove or alter copyright notices or attributions
• Misrepresent the origin of the Software, or use the BlackAtlas or GridDown marks except for permitted attribution
• Use BlackAtlas LLC trademarks without permission
• Distribute malicious modifications

4. User Responsibilities

4.1 Lawful Use

You agree to use GridDown only for lawful purposes and in compliance with:

• All applicable local, state, national, and international laws
• Radio frequency regulations (FCC, ITU, etc.)
• Land access and permit requirements
• Aviation and maritime regulations
• Export control laws

4.2 Accurate Information

When using features that involve coordinates, waypoints, or plans:

• You are responsible for verifying accuracy
• You acknowledge that data may contain errors
• You will not rely solely on GridDown for safety-critical decisions

4.3 Hardware Responsibility

When connecting external devices:

• You are responsible for proper device configuration
• You acknowledge that hardware failures are outside our control
• You will follow manufacturer guidelines for all connected equipment

4.4 Radio Operations

If you use radio-related features:

• You are solely responsible for obtaining required licenses
• You will comply with all frequency allocations and power limits
• You will not transmit on frequencies you are not authorized to use
• You acknowledge that GridDown does not verify your licensing status

5. Privacy

Your privacy is important to us. Please review our Privacy Policy for information about:

• What data GridDown collects (minimal to none)
• How data is stored (locally on your device)
• External services used (map tiles, weather APIs)
• Your rights regarding your data

Summary: GridDown operates offline-first and stores all user data locally. We do not collect personal information, track usage, or maintain user accounts.

6. Third-Party Services

GridDown integrates with third-party services including:

Your use of these services is subject to their respective terms. We are not responsible for third-party service availability, accuracy, or changes.

7. Intellectual Property

7.1 Ownership

GridDown, including all source code, documentation, graphics, and branding, is the intellectual property of BlackAtlas LLC, except where otherwise noted.

7.2 Trademarks

"GridDown" and "BlackAtlas LLC" are trademarks of BlackAtlas LLC. Use of these marks requires written permission except for attribution purposes.

7.3 User Content

Any content you create using GridDown (waypoints, routes, plans) remains your property. By using export/sharing features, you grant us no rights to your content.

7.4 Contributions

If you contribute code or documentation:

• You retain copyright to your contributions
• You grant us a perpetual, worldwide, royalty-free license to use contributions in GridDown and related products
• You represent that you have the right to make such contributions

8. Disclaimer of Warranties

8.1 "As Is" Basis

GRIDDOWN IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• MERCHANTABILITY
• FITNESS FOR A PARTICULAR PURPOSE
• NON-INFRINGEMENT
• ACCURACY OR RELIABILITY
• UNINTERRUPTED OR ERROR-FREE OPERATION

8.2 No Safety Guarantee

WE DO NOT WARRANT THAT:

• GridDown will meet your specific requirements
• Navigation data will be accurate or current
• Weather or environmental data will be reliable
• Emergency features will function in all conditions
• Hardware integrations will work with all devices

8.3 Supplementary Tool

9. Limitation of Liability

9.1 Exclusion of Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BLACKATLAS LLC SHALL NOT BE LIABLE FOR ANY:

• Indirect, incidental, special, or consequential damages
• Loss of profits, data, or business opportunities
• Personal injury or property damage
• Costs of substitute products or services

ARISING FROM OR RELATED TO YOUR USE OF GRIDDOWN, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

9.2 Maximum Liability

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID FOR THE SOFTWARE (IF ANY) OR $100 USD, WHICHEVER IS GREATER.

9.3 Jurisdictional Limitations

Some jurisdictions do not allow limitation of implied warranties or exclusion of certain damages. In such jurisdictions, our liability is limited to the maximum extent permitted by law.

10. Indemnification

You agree to indemnify, defend, and hold harmless BlackAtlas LLC and its officers, directors, employees, agents, and contributors from any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from:

• Your use or misuse of GridDown
• Your violation of these Terms
• Your violation of any third-party rights
• Your violation of any applicable laws or regulations
• Content you create or share using GridDown

11. Modifications to Service

11.1 Updates

We may update GridDown at any time to:

• Add or remove features
• Fix bugs or security issues
• Improve performance
• Comply with legal requirements

11.2 No Obligation

We are under no obligation to:

• Maintain backward compatibility
• Provide updates or support
• Continue operating the Service

11.3 Notification

Significant changes will be documented in the CHANGELOG. Continued use after changes constitutes acceptance.

12. Termination

12.1 By You

You may stop using GridDown at any time by:

• Uninstalling the application
• Clearing browser data
• Deleting downloaded files

12.2 By Us

We may terminate or suspend access to GridDown if you:

• Violate these Terms
• Engage in illegal activity
• Attempt to circumvent security measures
• Use the Service in ways that harm others

12.3 Effect of Termination

Upon termination:

• Your license to use GridDown ends
• You must delete all copies in your possession
• Provisions regarding intellectual property, disclaimers, and limitations survive

13. Governing Law

13.1 Jurisdiction

These Terms are governed by the laws of the United States and the Commonwealth of Virginia, without regard to conflict of law principles.

13.2 Dispute Resolution

Any disputes arising from these Terms or your use of GridDown shall be resolved through:

1. Informal Resolution: Contact us at info@blackatlas.tech to attempt resolution
2. Binding Arbitration: If informal resolution fails, disputes will be resolved through binding arbitration
3. Venue: Any litigation shall occur in courts located in Stafford County, Virginia

13.3 Class Action Waiver

You agree to resolve disputes individually and waive any right to participate in class actions or class arbitrations.

14. Export Compliance

GridDown may be subject to export control laws. You agree not to export or re-export the Software to:

• Countries under U.S. embargo
• Persons on denied party lists
• End uses prohibited by law

15. Government Use

If you are a U.S. Government entity:

• GridDown is a "Commercial Item" as defined in 48 C.F.R. §2.101
• Use is subject to these Terms
• Government use of the Software is free, like all other use; hardware procured from BlackAtlas is governed by a separate agreement

16. Severability

If any provision of these Terms is found unenforceable:

• That provision will be modified to the minimum extent necessary
• Remaining provisions will continue in full force
• The unenforceable provision will not affect other provisions

17. Entire Agreement

These Terms, together with the Privacy Policy, Disclaimer, and License, constitute the entire agreement between you and BlackAtlas LLC regarding GridDown.

18. Waiver

Failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision.

19. Assignment

You may not assign or transfer these Terms without our written consent. We may assign our rights and obligations without restriction.

21. Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be:

• Posted in this document with updated date
• Noted in the CHANGELOG for significant changes

Continued use of GridDown after changes constitutes acceptance of the modified Terms.

Acknowledgment

BY USING GRIDDOWN, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS OF SERVICE.

If you do not agree, do not use GridDown.
